GENERAL TERMS AND CONDITIONS OF SALE OF SARL DOMAINE DE LA TOUR 14700 SAINT-PIERRE-CANIVET, FRANCE
1) APPLICATION OF THE GENERAL TERMS AND CONDITIONS OF SALE
The General Terms and Conditions of Sale apply to offers and contracts from Domaine de la Tour and govern the agreements between Domaine de la Tour and the Customer. The sale and provision of our services—such as the rental of event spaces and/or vacation rentals and/or the use of guest rooms and/or any other services and/or the rental of the property, also referred to in this document as an “event”— automatically entail acceptance of these General Terms and Conditions of Sale and their terms of application, except in the case of specific agreement(s) indicated by Domaine de la Tour in the offer/contract and signed by the Customer. Domaine de la Tour reserves the right to modify its General Terms and Conditions of Sale at any time, if necessary.
2) ORGANIZATION AND LAYOUT OF THE HALLS, COTTAGES, GUEST ROOMS, AND TECHNICAL ROOM
The Domaine de la Tour has 4 rooms. Room rates include:
A total of 160 white chairs and 100 gray chairs
A total of 6 roundtable discussions, each with 8 or 9 people
A total of 6 roundtable discussions, each with 10 participants
A total of 6 rectangular tables, each seating 8–9 people
Water, heating, and indoor and outdoor electricity
Soap and toilet paper for the restroom
Use of the Parking Lot
Use by the caterer of the technical room and/or in the reception area.
If the Client and Domaine de la Tour have agreed in writing that the latter will set up tables and chairs for the Client’s event, the Client is asked to provide written instructions regarding the desired arrangement of the tables and chairs at least 5 days before the event at Domaine de la Tour. The maximum number of guests the Client may accommodate at Domaine de la Tour—across all 4 event rooms, 2 large guesthouses, 1 small guesthouse accessible to people with reduced mobility, and 4 indoor guest rooms—for evening events is 130 people. For cocktail receptions and receptions held outdoors at Domaine de la Tour: a maximum of 200 people. The Client must inform Domaine de la Tour of the final number of guests at least 5 days before the event. This number will, if applicable, serve as the basis for billing.
Rental schedules are customized. The Customer must refer to the terms specified in the offer or contract. The premises and grounds of Domaine de la Tour are reserved for private gatherings. Public gatherings announced via posters or the press are permitted only with the written consent of Domaine de la Tour.
We guarantee a heating temperature of up to 20 C° in our two large rooms, in the vacation rentals, and in the guest rooms. In the other rooms, we cannot guarantee the heating temperature because there is too much coming and going of people (guests and caterers), which results in doors being left open.
The Domaine de la Tour features 2 large vacation rentals, 1 small vacation rental accessible to people with disabilities, and 4 guest rooms. Each large vacation rental has a living room, a kitchen, and 4 double bedrooms, each with its own bathroom. The rates for these 2 large vacation rentals, the small wheelchair-accessible vacation rental, and the 4 guest rooms include: water, heat, and electricity; bed linens; towels; and dish towels. The maximum number of guests permitted by Domaine de la Tour is 2 people per guest room or double room, or 8 people per cottage. The Guest may occupy the cottages or guest rooms with more than the maximum number of guests only if they have written authorization from Domaine de la Tour and only after paying the additional fee agreed upon in that written authorization. Unless otherwise specified in a written agreement, the Guest is requested to arrive between 4:00 p.m. and 7:00 p.m. and to vacate the vacation rental and/or guest room by 10:00 a.m. on the day of departure. Any delay beyond this time will result in the Guest being charged for an additional night at the rate currently in effect at Domaine de la Tour.
3) RESERVATIONS, DEPOSITS, INVOICES, AND PAYMENT TERMS
All payments must be made by French check, credit card (Visa and Eurocard/Mastercard), bank transfer, or cash. The Domaine de la Tour considers an event to be definitively reserved when the offer/contract, sent by the Domaine de la Tour to the Client, is returned within the specified time frame, signed by the Client to indicate acceptance, and accompanied by the first installment of the deposit.
In the absence of a response to the offer or contract, receipt by Domaine de la Tour of the deposit paid by the Customer implies the Customer’s full acceptance of the offer or contract corresponding to said deposit and of these general terms and conditions of sale. In accordance with applicable regulations, deposits are never refunded and cannot be carried over to another date.
The first deposit payment is due at the time the Client books the event at Domaine de la Tour. The second installment of the deposit is due in January, and the final installment must be paid no later than one month before the Client’s event at Domaine de la Tour, unless otherwise specified in a specific agreement(s) confirmed in writing by Domaine de la Tour to the Client. For businesses: the payment term for invoices from Domaine de la Tour is 14 days from the invoice date, unless otherwise specified in a specific agreement(s) provided in writing by Domaine de la Tour to the Client. If the required payments are not made on time, Domaine de la Tour also has the right to cancel the Client’s reservation for the event at Domaine de la Tour. Domaine de la Tour will retain the full amount of any deposits paid.
The Customer remains obligated to make all remaining payments as specified in the corresponding offer or contract. Any delay will result in the imposition of late payment penalties equal to one and a half times the applicable statutory interest rate, without prior notice. All costs that Domaine de la Tour may incur in connection with the collection of outstanding debts shall be borne by the Customer.
4)PRICES
All our rates are in euros. The rates confirmed in the quote or contract issued by Domaine de la Tour are valid for 14 days from the date the quote or contract is issued to the Customer. After this period, they are subject to change, for example, due to economic conditions and/or legislative and/or regulatory changes that may result in price fluctuations, such as: price adjustments by an external service provider, changes to the applicable VAT rate, the introduction of new taxes, etc.
The applicable rates are those in effect on the day the service is provided. If applicable, the rates in the offer/contract are based on a specific number of event participants. If this number changes, Domaine de la Tour may adjust its prices at any time. Domaine de la Tour does not cover currency exchange fees or bank or postal transfer fees. Payment for any event that has begun is due in full to Domaine de la Tour.
5) CANCELLATION BY THE CUSTOMER OR THE TOUR OPERATOR
Cancellations by the Client must be confirmed in writing to Domaine de la Tour. For all events: if the cancellation occurs up to 2 months before the event, then 50% of the total amount agreed upon in the proposal/contract is due from the Client to Domaine de la Tour. If the Client cancels between 2 months before the event and the first day of the event, then the Client owes Domaine de la Tour 100% of the total amount agreed upon in the quote/contract. If Domaine de la Tour cancels the event, Domaine de la Tour must confirm the cancellation in writing to the Client. In this case, all amounts paid by the Client to Domaine de la Tour will be refunded to the Client.
6) ROOM ALLOCATION
The Domaine de la Tour cannot guarantee that rooms will be assigned together for a single group. The Domaine de la Tour determines the assignment of guest rooms.
7) FORCE MAJEURE
Domaine de la Tour may be released from its obligations or suspend their performance if it is unable to fulfill them due to the occurrence of an exceptional event, particularly in the event of the total or partial destruction of Domaine de la Tour, or in the event of force majeure, such as a strike, fire, or water damage. In such a case, the Domaine de la Tour reserves the right to have the Client’s event held on another date within the same year, or on another date in a different year, depending on its availability, or at another venue near the Domaine de la Tour that is of equivalent quality (in the latter case, without any change in price).
8) ADMINISTRATIVE CLOSURE AND/OR LOCKDOWN
Domaine de la Tour may be released from its obligations or suspend their performance if it is unable to fulfill them due to the occurrence of a mandatory administrative closure or a mandatory lockdown, for example, as a result of the spread of one or more of the following: viruses, bacteria, gases, molecules, epidemics, pandemics, acts of violence, riots, or imminent danger. In such a case, the Domaine de la Tour reserves the right to reschedule the Client’s event for another date within the same year, or for another date in a different year, depending on its availability, or at another venue near the Domaine de la Tour and of equivalent quality (in the latter case, without any change in price).
9) ANIMALS
At Domaine de la Tour, pets are unfortunately not allowed, either indoors or outdoors.
10)DECORATIONS, CONFETTI, HORN SIRENS, FIREWORKS, LANTERN RELEASES, LANTERNS, AND ANY OBJECTS INVOLVING FIRE OR FLAMES
It is prohibited to drill holes in the walls, doors, windows, and ceilings of the rooms, cottages, and/or guest rooms. No items may be attached using pushpins, string, or adhesive tape at the Domaine de la Tour without the Domaine de la Tour’s written authorization. The Guest may decorate tables, chairs, the floor, and the fireplace as long as these surfaces are not damaged by the Guest or others, such as the Guest’s guests, colleagues, employees, subcontractors, participants, or their guests.
The use of confetti or rice is not permitted at Domaine de la Tour. If the Customer nevertheless uses confetti, rice, or other items that require very thorough cleaning, Domaine de la Tour has the right to bill the Customer for each additional hour of cleaning at the current rate in effect at that time. Fireworks, foghorns, sky lanterns, paper lanterns, and any objects involving fire or flame are strictly prohibited at Domaine de la Tour. Failure to comply with this rule by the Client or any of their guests, colleagues, employees, subcontractors, participants, or their guests will result in the immediate termination of the Client’s event. All future costs and any resulting loss of revenue for Domaine de la Tour associated with such behavior will subsequently be billed to the Client. Failure to comply with this rule may also result in criminal penalties.
11) HOUSEKEEPING AND GARBAGE
The Domaine de la Tour performs cleaning before the Guest’s arrival and after the Guest’s departure. The Guest must leave the premises and the exterior of the Domaine de la Tour in a clean condition upon departure, meaning free of any personal belongings and free of any specific dirt or debris left by the Guest or others, such as the Guest’s guests, colleagues, employees, subcontractors, participants, or their guests. If this is not the case, Domaine de la Tour reserves the right to bill the Customer for each additional hour of cleaning at the current rate in effect at that time.
With regard to all waste generated and the use of the utility room in connection with the event, the Client and/or the caterer is required to follow the following rules:
Do not cut directly on stainless steel tables: always protect the stainless steel surface before cutting anything on it.
Please leave this room as clean as you found it.
Never use abrasive sponges to clean this area: use only soft dishcloths or sponges.
Never use bleach in this room.
Clean the inside and outside of all items in this room (cold storage room, oven, stove, freezer, sink area, tables) and clean the floor.
Please take all your trash home with you (garbage, cardboard, glass bottles, plastic bottles, etc.) and do not leave anything behind.
Do not leave any of your items (cardboard, plastic, glass, etc.) in the yard, in the garden, or on the patio.
We provide a broom, a dustpan, a hand brush, a scrub brush, a squeegee, a mop, a bucket, and cleaning supplies for you to clean the premises after your stay.
If the Customer and/or the caterer fails to comply, in whole or in part, with the above provisions, Le Domaine de la Tour reserves the right to use, in whole or in part, the Customer’s security deposit to compensate for damaged property, expenses, and/or additional work.
12) HANDING OVER THE KEYS, SECURITY, AND RETURN OF THE KEYS
The handover of keys, the property inspection, and the inventory of furnishings are conducted with the Client or the Client’s representative at times agreed upon by Domaine de la Tour and the Client. Upon key handover, Domaine de la Tour will inform the Client of the safety instructions (emergency exits, location of fire extinguishers, alarms and emergency shut-offs, and sound system outlets linked to the fire alarm).
Upon return of the keys, Domaine de la Tour and the Client—or the Client’s representative, who must be the same person who conducted the property inspection upon key handover—shall once again conduct a property inspection and take inventory of the furnishings. The value of any items that have been damaged or are missing, in whole or in part, will be deducted from the Client’s security deposit.
13) SOUND SYSTEMS AND HOURS
There are currently no time restrictions on the use of sound systems at the Domaine de la Tour inside its rooms, provided that the Client keeps the doors to the rooms, the reception area, and the restrooms closed so that the sound system does not disturb the neighborhood. In the event of a violation, the Domaine de la Tour may require the immediate cessation of sound system use. The use of a sound system outside the Domaine de la Tour’s rooms—whether indoors or outdoors—is strictly prohibited without written authorization from the Domaine de la Tour. Bands and orchestras are prohibited in our event spaces and outdoors. Only very low-volume sound systems are permitted in our grounds during the day until 8:00 p.m., but only with written authorization from Domaine de la Tour.
After 10:00 p.m., the courtyard at Domaine de la Tour is intended solely as a thoroughfare for guests staying at the property and not as a gathering place. From that time onward, silence must be observed throughout the entire outdoor area of the Domaine de la Tour. Our rooms are equipped with audio outlets and a sound limiter: if you do not plug your sound system into the “PC Sono” outlets in our large ground-floor room, the Domaine de la Tour may forfeit your entire security deposit. All future costs and any loss of revenue incurred by the Domaine de la Tour resulting from failure to comply with these rules will subsequently be billed to the Guest. Failure to comply with these rules may also result in criminal penalties.
14)
PARKINGVehicle parking will be available in the Domaine de la Tour parking lot, which is marked with a “Parking” sign. It is essential to keep the access route between the avenue and the courtyard entrance clear.
15)DELIVERIES
All deliveries to the Client must be made on the first day of the event, unless otherwise agreed in writing between Domaine de la Tour and the Client. If deliveries are made before the first day of the event without authorization from Domaine de la Tour, they may be refused.
16)CAMPING
The Customer is exceptionally permitted to camp at Domaine de la Tour. In this case, the details are specifically outlined in the offer/contract issued by Domaine de la Tour. The Customer may camp in the areas specified by Domaine de la Tour. The Customer is responsible for cleaning up after their stay. Camping at Domaine de la Tour without authorization is strictly prohibited. If the Customer or any other person—such as their guests, colleagues, employees, subcontractors, participants, or their guests—violates this rule, Domaine de la Tour may use the Customer’s security deposit to cover rental fees and/or damage costs.
17) STREET SALES
The Customer agrees to provide Domaine de la Tour with the required written authorization from the municipality (for the rental of spaces under 300 m²) or the prefecture (for the rental of spaces over 300 m²), at least 15 days before the first day of the event, when the purpose of renting the premises is retail sales or taking orders for goods preceded by advertising. Under no circumstances may the rental period exceed the duration specified on the municipal or prefectural authorization. Failure to obtain written authorization entitles Domaine de la Tour to cancel the event.
18) TICKETED EVENTS
The Customer agrees to declare, in a written letter addressed to Domaine de la Tour at the same time that the offer/contract is accepted and the first deposit payment is made, that it assumes full responsibility when the event organized at Domaine de la Tour involves an admission fee.
19)EXHIBITIONS AND TRADE SHOWS
A Client organizing trade shows or fairs must provide the establishment, at least 15 days before the event’s start date, with the prefectural authorization and/or authorization from the safety commission required for such a commercial event (Decree 88-598 of May 7, 1988). The Client agrees to restore the occupied premises to their original condition, at its own expense.
20)PHOTO ESSAY
The Client is requested to notify the Domaine de la Tour in writing in advance of the event regarding the possible presence of a photographer and is solely responsible for obtaining any necessary authorizations. In particular, the use of drones is authorized only upon presentation of a license, a declaration of activity, and a certificate of competence. It is strictly prohibited to fly over neighboring properties or to zoom in on their property with a camera. Finally, it is strictly prohibited to distribute videos or images of the owners of the Domaine de la Tour and their neighbors. Failure to comply with this rule may also result in criminal penalties.
21) COPYRIGHT AND USE OF CUSTOMER DATA
The Client is personally responsible for all declarations and the payment of all fees—in particular to SACEM, if necessary—for the performance of musical works and, more generally, for any entertainment (orchestra, show, DJ, recorded music) within the halls and/or vacation rentals and/or guest rooms of the Domaine de la Tour. The Customer must provide Domaine de la Tour with proof of the declaration made to SACEM at least 15 days prior to the event.
Domaine de la Tour reserves the right to use its clients’ names and logos in its communications to promote its business. 22) LIABILITY, SECURITY DEPOSIT, AND INSURANCE
Domaine de la Tour shall not be held liable under any circumstances or for any reason whatsoever—including, but not limited to, fire or theft, whether occurring inside or outside Domaine de la Tour—that may affect items or equipment left by the Customer or participants/guests in connection with the event covered by this reservation.
The Client is responsible for safeguarding any personal belongings and equipment brought by the Client or by participants in the event, particularly in the locker rooms. The Client shall be responsible for purchasing any insurance policy the Client deems necessary—for the Client and the Client’s guests—to cover the risk of unforeseeable cancellation, such as due to illness or the death of a family member, force majeure, an administrative shutdown, or a lockdown. Domaine de la Tour advises the Client to purchase specific insurance if large equipment or valuable items are present, as Domaine de la Tour shall under no circumstances be held liable in the event of partial or total damage and/or theft of such items.
The Customer is liable for all incidents, accidents, damage, and losses caused through the Customer’s actions (including those caused by the Customer’s guests, colleagues, employees, subcontractors, participants, or their guests) and agrees, in such cases, to bear all costs associated with restoring the premises to their original condition, both inside and outside the Domaine de la Tour. Parents are responsible for supervising their children; in the event of an accident, Domaine de la Tour cannot be held liable.
Domaine de la Tour is never liable for the Client’s operating losses or any other losses incurred by the Client. Domaine de la Tour is never liable for the Client’s losses resulting from a lack of information provided by the Client, false information provided by the Client, information not provided in a timely manner by the Client, and/or insufficient cooperation on the part of the Client. The security deposit amounts to half of the total cost of the event agreed upon between the Client and Domaine de la Tour, except in the case of specific agreement(s) indicated by Domaine de la Tour in the proposal/contract. The Client must provide a check for this amount at the time of the final inspection for the event, unless otherwise specified in specific agreements indicated by Domaine de la Tour in the quote or contract. It will be returned in full, within the legally prescribed timeframe, following the final inspection, provided there has been no damage and/or missing items. If it becomes necessary to use the security deposit, Domaine de la Tour will first notify the Client. If the damage and/or missing items exceed the amount of the security deposit, Domaine de la Tour is authorized to bill the additional costs, based on Domaine de la Tour’s lost revenue and quotes from Domaine de la Tour’s suppliers.
23) RECOMMENDATIONS
The Guest agrees not to invite any person whose behavior is likely to cause harm to the Domaine de la Tour, which reserves the right to intervene if necessary. The Customer agrees to ensure that its guests, colleagues, employees, subcontractors, participants, or their guests comply with all instructions, regulations, and agreements set forth in the Domaine de la Tour’s terms and conditions of sale (including the prohibition on smoking in common areas). The Customer shall ensure that participants do not disrupt the operation of the facility or compromise the safety of the facility or the people present there.
24)VOIDNESS
If any provision of this contract is found to be invalid under applicable law or a final judicial decision, it shall be deemed unenforceable, without thereby rendering the contract invalid or affecting the validity of its other provisions.
25) WAIVER
The fact that either party does not assert the enforceability of any provision of the contract or acquiesces in its non-performance, whether permanently or temporarily, shall not be construed as a waiver by that party of the rights to which it is entitled under such provision.
26) CHANGES TO THE SERVICE
Any change to the service must be requested in writing and expressly accepted in writing by Domaine de la Tour.
27) CLAIMS AND DISPUTES
Any dispute or claim will be considered only if it is submitted in writing and sent by certified mail with return receipt requested to Domaine de la Tour no later than 8 days after the end of the event. Any dispute regarding the validity, interpretation, or performance of this contract shall fall under the exclusive jurisdiction of the courts of CAEN.
